Welcome to CitePath (the “Service”). These Terms of Service (the “Terms”) are a legal agreement between you and Shenzhen Chargrain Technology Co., Ltd. (深圳市字元佳禾科技有限公司; “we”, “us”, or “our”), the operator of the CitePath brand, governing your use of the website, console, and related services.
Please read these Terms carefully before registering, signing in, or using the Service. By creating an account, signing in, or using the Service, you agree to these Terms and our Privacy Policy.
If you do not agree, do not register for or use the Service.
1. The Service
1.1 CitePath is an AI visibility (GEO / AI SEO) platform for brands and content teams. Features may include brand mention and citation monitoring across AI platforms, visibility and share-of-voice analysis, Issues diagnostics, content drafting and optimization guidance, connectors (such as site publishing and analytics authorization), and related workspace tools.
1.2 We may update features, interfaces, quotas, and billing over time. Material changes will be communicated through site notices, in-product messages, or other reasonable means.
1.3 The Service is provided as software-as-a-service (SaaS). Unless we agree otherwise in writing, we do not guarantee that any specific feature will remain available forever, or that you will achieve a particular business outcome (for example, being cited by a given AI engine).
2. Accounts and Security
2.1 You must register with a valid email address and keep your credentials secure. You are responsible for losses caused by inadequate safeguarding of your account.
2.2 Registration information must be accurate and kept up to date.
2.3 You may not lend, transfer, sell, or otherwise share your account with others. Contact us through official channels if you suspect unauthorized access.
2.4 We may restrict, suspend, or terminate accounts that provide false information, violate these Terms, abuse the Service, engage in unlawful activity, or present a reasonable security risk.
3. Acceptable Use
3.1 You agree to use the Service lawfully and not to:
- violate applicable laws, regulations, or public order;
- infringe intellectual property, trade secrets, privacy, or other rights;
- attempt unauthorized access, reverse engineering, scraping, attacks, interference, or security circumvention;
- upload malware or other harmful content;
- misuse monitoring, generation, or other features for harassment, fraud, spam, or deceptive marketing;
- use another party’s brand, domain, account, or data without authorization;
- engage in other conduct we reasonably consider harmful to the Service, users, or third parties.
3.2 Domains, brand materials, site content, prompts, and connector configurations you submit must be owned by you or properly authorized. You are responsible for disputes arising from your submissions.
3.3 The Service may rely on third-party AI, search, payment, hosting, or analytics providers. Availability, output quality, and policies of those providers are their responsibility. We will help investigate issues where reasonable, but are not liable for all third-party outcomes.
4. Fees, Quotas, and Cancellation
4.1 Some features may require paid subscriptions, credits/quotas, or other billing models. Prices, entitlements, validity periods, and payment methods are as shown on purchase pages, order pages, or in the product.
4.2 Payment must be completed successfully. Features may not activate or renew if payment fails due to channel, balance, or risk-control issues.
4.3 Unless required by law or we agree otherwise in writing, fees for activated service periods, credits, or subscriptions are generally non-refundable. If the Service cannot be provided due to our material fault, we will provide a lawful or agreed remedy (such as extension, equivalent credit, or refund).
4.4 We may change prices and plans. Changes do not affect orders you have already paid for that remain in an active term; renewals and new purchases follow the then-current pricing.
5. Intellectual Property
5.1 CitePath trademarks, branding, UI, software, documentation, algorithms, and related IP belong to us or our licensors and are protected by law. You may not use, copy, modify, distribute, or commercially exploit them without written permission.
5.2 You retain rights in brand materials, site content, and original inputs you lawfully own. To operate the Service, you grant us a non-exclusive, worldwide, revocable license during the service term to store, process, display, analyze, generate recommendations, and perform publishing actions you request.
5.3 Unless otherwise agreed, drafts and recommendations generated by the Service are for your lawful use; you remain responsible for reviewing accuracy, compliance, and suitability before publishing.
6. Disclaimers and Limitation of Liability
6.1 The Service is provided “as is” and “as available.” We work to keep it reliable, but do not warrant uninterrupted or error-free operation, or that AI analyses or content suggestions will always be accurate, complete, or current.
6.2 To the maximum extent permitted by law, we are not liable for losses arising from force majeure; third-party failures; network, device, or user errors; your breach of these Terms; or business decisions you make based on analyses.
6.3 To the extent permitted by law, our aggregate liability for claims relating to the Service is limited to the amounts you paid us for the Service at issue during the 12 months before the claim; if you used the Service for free, that cap is zero. These limits do not apply where liability cannot be limited by law.
7. Changes, Suspension, and Termination
7.1 We may change, suspend, or discontinue parts or all of the Service and will try to provide advance notice when practical.
7.2 You may stop using the Service at any time. To delete your account, contact official support; after identity verification we will process the request as required by law, except for information we must retain.
7.3 After termination, we may delete or anonymize your data in accordance with the Privacy Policy and applicable law.
8. Changes to These Terms
We may update these Terms from time to time. Updated Terms take effect when posted on the site; material changes will be highlighted in a reasonable way. Continued use after an update means you accept the revised Terms.
9. Governing Law and Disputes
9.1 These Terms are governed by the laws of mainland China, without regard to conflict-of-law rules.
9.2 Disputes should first be resolved amicably. If not, either party may bring an action in a court with jurisdiction over the domicile of Shenzhen Chargrain Technology Co., Ltd.
